Terms of Service

1. The service

ExcelToolkit Pro provides browser-based spreadsheet tools, an optional AI assistant and a REST API. Most tools process files locally on your device; the AI features and the API process data on our servers as described in the Privacy Policy.

2. Your account

You must provide an accurate email address and keep your credentials secure. You are responsible for activity under your account. You must be at least 16, or have parental consent if your jurisdiction requires it.

3. Acceptable use

You may not:

• Use the service to process material you have no right to process.
• Attempt to remove protection from files you do not own or are not authorised to modify.
• Circumvent rate limits, quotas or authentication.
• Resell access to the service without a written agreement.
• Upload malware, or use the service to distribute it.
• Scrape the site at a rate that degrades it for others.

We may suspend accounts that breach these terms, with notice where practical and immediately where not.

4. Subscriptions and billing

Paid plans renew automatically until cancelled. Prices are shown exclusive of tax where applicable. Upgrades are prorated and take effect immediately; downgrades take effect at the end of the current period.

You may cancel at any time from your dashboard. Cancellation stops future charges; it does not refund the current period, except where consumer law requires otherwise.

5. Refunds

If a paid plan does not work as described, contact us within 14 days of the charge and we will refund it. We do not refund unused portions of a period you chose to leave early.

6. Availability

We target 99.9% monthly availability for the API and authenticated features. The browser-based tools continue to work while our servers are down, because they do not depend on them. We do not promise uninterrupted service and we do not offer credits on Free plans.

7. Intellectual property

We own the service, its code and its content. You own your files and the output the tools produce from them. Templates you download are yours to use commercially, without attribution.

You grant us no licence over your file contents, because we never receive them.

8. Warranties and liability

The service is provided "as is". We do not warrant that any output is fit for a particular purpose. Spreadsheet tools operate on data you supply; verify results before acting on them, particularly for financial, legal or medical decisions.

To the maximum extent permitted by law, our aggregate liability is limited to the greater of the amount you paid us in the preceding 12 months, or USD 100. Nothing here limits liability for death, personal injury, or fraud.

9. Termination

You may stop using the service at any time and delete your account from the dashboard. We may terminate for material breach of these terms, or if we discontinue the service, in which case we will give 90 days' notice to paying customers and refund unused prepaid periods.

10. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. Consumers retain the protections of their local law.
